Terms of Service

Please read these Terms of Service ("Terms") carefully before using Echo Loop.

These Terms govern your use of the Echo Loop mobile applications, website (echo-loop.top), and related services (collectively, the "Services") provided and operated by Hangzhou Fengchen Hangqi Management Consulting Co., Ltd. under the Echo Loop brand ("we", "us", or "our").

By downloading, installing, or using Echo Loop, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

If we permanently discontinue a material paid service before the end of a paid period, we will give reasonable notice and provide the refund or other remedy required by applicable law and the purchase terms.

We may suspend, restrict, or terminate access to an account or feature if we reasonably believe that you have materially violated these Terms or applicable law, your use creates a security or legal risk, or action is needed to protect users or the Services. We may act without advance notice where required by law or necessary to address an urgent security, safety, or fraud risk. You may contact us to appeal an account action. This section does not limit any rights you have under applicable law.

5.1 User Content and Limited License

"User Content" means material you upload, submit, create, or include in a collection, such as audio or video files, collection names and descriptions, cover images, media titles and descriptions, subtitles or transcripts, annotations, and other materials.

You retain the rights you have in your User Content. To provide the Services, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, review, process, and adapt your User Content only as technically necessary to operate the Services, including encoding, formatting, and delivery. We may authorize service providers acting on our behalf to carry out these activities. This license continues while you keep the content in your account and ends when you delete it or close your account, except for temporary technical caches, copies retained in backups, or records kept as required for legal compliance, security, or dispute resolution.

If you set a collection to public and submit it for review, you also grant us a worldwide, non-exclusive, royalty-free license to publish and make the submitted version available through Echo Loop websites, public catalogs, APIs, and media delivery after it is approved. We use this additional license only to operate, maintain, and provide the public collection feature. The public display license ends when you delete the relevant content, make the collection private, or close your account, subject to temporary technical caches and copies others have already downloaded. We do not acquire ownership of your User Content or the right to sell it, license it independently, or use it to promote unrelated products or services.

For that public feature, you authorize us to let other users access and use the approved collection through the Services for personal, non-commercial purposes, subject to the available features. This does not authorize unrelated use of your User Content.

5.2 Content Responsibility

You are responsible for your User Content and represent that you own it or have obtained the rights and permissions needed to upload it and, where applicable, make it public. This includes permission to use any third-party names, images, voices, or other personal information in your content.

You must ensure that your User Content:

Public collections must be submitted for review and are made available through the public catalog only after approval. To the extent permitted by law, we are not required to monitor all User Content, but may review, reject, remove, or restrict access to User Content, disable a collection, or limit an account when we reasonably believe content violates these Terms or applicable law, in response to a rights-holder notice or legal request, or to protect users and the Services. We may take these steps with or without prior notice where appropriate or required by law. Where reasonably practicable, we will provide the reason for a restriction and a way to contact us about it. You may report suspected unlawful or infringing content by emailing support@echo-loop.top with the collection or content URL, a description of the issue, and supporting information. We may notify the uploader and provide a way to appeal or submit a counter-notice when required by law. In appropriate circumstances, we may suspend or terminate accounts of repeat infringers. Where required by law, we will preserve related records and report the matter to competent authorities. Review or approval does not mean that we are the author, endorse User Content, or guarantee its ownership, legality, accuracy, or completeness, and it does not reduce your responsibilities for content you submit. Nothing in this section excludes duties that applicable law places on us, including applicable content-governance, notice-and-action, or regulatory-cooperation duties.

6. Intellectual Property

6.1 Our Property

Echo Loop, including its design, features, and content (excluding User Content), is owned by us or our licensors and protected by intellectual property laws. The Echo Loop name, logo, and related marks are our trademarks.

6.2 Feedback

If you provide suggestions or feedback about the Services, you grant us the right to use such feedback without compensation or attribution.

7. Subscription and Payments

7.1 Free and Premium Services

Echo Loop offers both free and premium subscription tiers. Premium features require a paid subscription.

7.2 Payment Terms

The billing frequency, price, trial period (if any), renewal terms, and applicable taxes will be shown before you confirm a purchase. Payments are processed by the provider identified at checkout or in your app store account. We may change prices prospectively after giving notice required by law; a price change will not apply to a renewal where your consent is required unless you agree to it.

7.3 Automatic Renewal

If the purchase screen states that a subscription renews automatically, it will renew for the period and at the price disclosed there unless you cancel by the deadline and through the method specified by the applicable payment provider or app store. Renewal reminders and cancellation rights will be provided where required by law.

Refund requests are handled under the refund terms shown at purchase, our applicable Refund Policy, and the rules of the payment provider or app store that processed the payment. Nothing in those terms limits any mandatory refund or cancellation right provided by applicable law. 8. Account Deletion

8.1 How to Delete

You may request complete account deletion at any time through the in-app settings or by contacting support@echo-loop.top.

8.2 Effects of Deletion

Account deletion is generally irreversible and will disable access to the account and associated learning features. We will delete or anonymize personal information associated with the account within the period described in our Privacy Policy, except for information we are permitted or required to retain. Account deletion does not by itself cancel a subscription billed by an app store or other third-party provider; you must cancel it with that provider.

8.3 Data Retention After Deletion

We may retain information for as long as reasonably necessary to comply with legal obligations, resolve disputes, enforce our agreements, protect the Services, or complete deletion from backup systems. Public material may remain in copies downloaded or independently retained by others. Our Privacy Policy describes our retention practices.

9. Third-Party Services

9.1 AI and Media Processing Providers

Some features use third-party providers to process audio or text you submit, convert media, or connect an optional third-party account. Providers and model routes may vary by feature, configuration, and region. Our Privacy Policy describes the relevant provider categories and how information is shared. Third-party services may also be subject to their own terms, but this does not limit any responsibility we have under applicable law.

9.2 App Stores

If you download Echo Loop from an app store (Apple App Store, Google Play), you also agree to that store's terms of service.

9.3 Third-Party Links

The Services may contain links to or integrations with third-party websites and services. We do not control independent third parties and, to the extent permitted by law, are not responsible for their content, services, or privacy practices. Review their terms and privacy notices before using them. This does not limit any responsibility we have under applicable law.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

We do not guarantee that the Services will be uninterrupted, error-free, or completely secure. AI-generated transcriptions, translations, explanations, and other outputs may be inaccurate or incomplete. The Services support language learning and do not guarantee a particular learning outcome. Review outputs before relying on them.

User Content and other materials made available by users are provided by those users. To the maximum extent permitted by law, we do not endorse or warrant that User Content is accurate, lawful, complete, or non-infringing. Each user remains responsible for the content they submit.

Nothing in these Terms excludes a warranty or other right that cannot lawfully be excluded or limited.

11. Limitation of Liability

Important notice: Sections 10 and 11 disclaim certain warranties and limit certain types and amounts of liability. These limits apply only to the extent permitted by applicable law and do not remove rights or liabilities that cannot legally be excluded or limited. Please read them carefully.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ECHO LOOP AND ITS AFFILIATES, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR:

These exclusions do not exclude liability for direct loss merely because it arises from data loss, a service interruption, an AI output, User Content, or a third-party service. Liability for such claims remains subject to the cap below and applicable law.

To the maximum extent permitted by applicable law, our total liability for all claims arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amount you paid for the Services, including through an app store or payment provider, during the 12 months before the event giving rise to the claim, or (b) US$100 (or the equivalent in your local currency).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury, property damage caused by gross negligence or intentional misconduct, fraud, or any non-waivable consumer, refund, or data protection rights. Where local law does not permit a particular exclusion or cap, it applies only to the maximum extent that law permits.

12. Indemnification

To the extent permitted by applicable law, you will indemnify Echo Loop and its personnel against third-party claims, losses, and reasonable costs (including reasonable legal fees) to the extent caused by your unlawful conduct, material breach of these Terms, or User Content that infringes a third party's rights. Any indemnity is limited to reasonable, documented amounts attributable to your conduct and does not create a broader obligation than applicable consumer law permits. We will give you reasonably prompt notice of the claim, allow you a reasonable opportunity to participate in its defense, and provide reasonable cooperation. We will not agree to a settlement that imposes obligations on you without your consent, which must not be unreasonably withheld. You may not settle a claim in a way that admits fault on our behalf or imposes obligations on us without our written consent. This section does not apply to the extent a claim was caused by our acts or omissions and does not limit rights that cannot lawfully be limited.

13. Changes to Terms

We may update these Terms from time to time. For material changes, we will provide notice by a reasonable method, such as:

We will also update the date at the top of these Terms. Updating the date alone does not constitute notice of a material change. We will give reasonable advance notice of material changes, except where an urgent legal or security need requires a shorter period.

Changes apply prospectively from their stated effective date. Where applicable law requires your consent, we will obtain it. If you do not agree to a change, you may stop using the affected Services and cancel any subscription before the change takes effect, subject to applicable law.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Echo Loop regarding the Services.

14.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

14.3 Waiver

Our failure to enforce any right does not constitute a waiver of that right.

14.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms as part of a merger, reorganization, or sale or transfer of all or substantially all of the relevant business or assets, provided the assignment does not reduce rights that applicable law gives you.

14.5 Mandatory Rights

These Terms do not remove rights or protections that applicable law does not allow you to waive. If a provision is unenforceable in your location, it will apply only to the extent permitted there, and the rest of these Terms will remain in effect.

14.6 Governing Law and Disputes

These Terms are governed by the laws of mainland China, subject to any mandatory consumer protections that apply where you habitually reside. You may contact support@echo-loop.top to seek an informal resolution. Doing so is voluntary and does not prevent you from bringing a claim before a court with jurisdiction under applicable law or contacting a competent authority. Nothing in these Terms requires arbitration or waives rights to bring proceedings that cannot lawfully be waived.

15. Copyright and Intellectual Property Notices

If you believe User Content on Echo Loop infringes your copyright or other intellectual property rights, email support@echo-loop.top with your contact information, evidence that you own or are authorized to represent the rights, identification of the protected work, the exact location of the material, and an explanation of the claimed infringement. Please include a statement that the information is accurate and that you are acting in good faith. We may remove or restrict access to content and take action on the associated account as appropriate or as required by law. If we remove content in response to a formal notice, we may notify the uploader and will follow any legally required counter-notice process. Notices intended to invoke a statutory process, including the U.S. DMCA, must contain the information required by that process and be sent through the contact channel designated for it, where applicable. Nothing in this section guarantees that a statutory safe harbor applies.
